The My Way Site, which is generally accessible through the domain www.delluk.myway.com and the services provided over it (together the "My Way Service"), are owned or licensed to and produced by IAC Search & Media and its subsidiary and affiliate corporations, successors, and assigns (collectively referred to in this User Agreement as "we", "us" or "our"). By using the My Way Service, you agree to be legally bound by this User Agreement. If you do not agree to the terms and conditions of this User Agreement please do not use the My Way Service and do not register for membership or any of our services.

The My Way Service is intended for use by you in the United Kingdom. We make no warranty or representation that the My Way Service (or any element of it) is appropriate or available for use in locations outside the United Kingdom. Accessing the My Way Service from territories where your access to it is prohibited or where such service (or any part thereof) is considered illegal or unlawful is not permitted under this Agreement. If you choose to access the My Way Service from locations outside the United Kingdom, you do so on your own initiative and you are responsible for compliance with all applicable local laws.

NOTHING IN THIS AGREEMENT AFFECTS YOUR STATUTORY RIGHTS.

Amendments to this User Agreement
We reserve the right, at our discretion, to change, modify, add, or remove portions of this User Agreement at any time. Please check these terms periodically for changes. Your continued use of the My Way Service following changes to this User Agreement will mean you accept those changes. Please revisit this page periodically to ensure that you are familiar with the most up to date version of this User Agreement. You can determine when the Agreement was last revised by checking the "Last Revised" legend at the top of this User Agreement.

PLEASE PRINT AND RETAIN A COPY OF THIS USER AGREEMENT AND ANY REVISED VERSION FOR YOUR RECORDS.

General Terms of Service
This User Agreement and our Privacy Policy, which also forms part of the agreement between us, are available in the English language only.

By using the My Way Service, you agree to be legally bound and to abide by this User Agreement, just as if you had signed this User Agreement. If you do not comply with this User Agreement at any time, we reserve the right to terminate your account and your access to the My Way Service (or any element of it). We may suspend, discontinue or alter any aspect of the My Way Service, including, but not limited to, by: (1) restricting the time the My Way Service is available; (2) restricting the amount of use permitted; and (3) restricting or terminating any user's right to use the My Way Service, at our sole discretion and without prior notice or liability. You are responsible for all charges associated with connecting to the My Way Service through an available access number. You are also responsible for obtaining or providing all access lines, telephone and computer equipment (including modem), or other devices, necessary to access the My Way Service.

The My Way Service is currently provided free of charge. We reserve our right to charge for the My Way Service (or any element of it) in the future.

You are permitted to use the My Way Service for personal, non-commercial purposes only.

In order to permit us to protect our reputation, our employees, affiliates, partners, stockholders and members, and the quality of our products and services, you hereby consent to our employees being able to access your account, records and information on a case by case basis to investigate suspected breaches of this User Agreement by you or complaints or other allegations of fraud, harassment, "spam" or illegal, harmful or inappropriate activity or abuse. We shall not disclose the existence or occurrence of such an investigation other than in connection with a good-faith belief that such disclosure is necessary to: (1) comply with the law or comply with any legal process served on us or any of our users or the public; (2) protect and defend our rights or property; or (3) act in an emergency to protect the personal safety of our users or the public.

Account, Password, and Security
To open an account, you must complete the registration process by providing us with current, complete and accurate information as prompted by the registration process. You will be required to choose a password and an account name. You are entirely responsible for maintaining the confidentiality of your password and account. Furthermore, you are entirely responsible for any and all activities that occur under your account.

You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

Content and Materials
You acknowledge that the My Way Service contains information, software, photos, video, text, graphics, music, sounds and other material (collectively, "Content") that are protected by copyrights, patents, trademarks, trade secrets or other proprietary rights. All Content is protected by copyright as a collective work under applicable copyright laws, and we or other members of the IAC Search & Media group of companies own copyright in the selection, coordination, arrangement and enhancement of such Content. The My Way name and logo are proprietary trademarks of IAC Search & Media or other companies in the IAC Search & Media group. All other trademarks appearing on the My Way Service are trademarks of their respective owners. Our partners may also have additional proprietary rights in the content that they make available through the My Way Service. You may not modify, publish, transmit, participate in the transfer or sale, create derivative works, or in any way exploit, any of the Content, in whole or in part, except that you may download one copy of the materials on any single computer for your personal, non-commercial home use only, provided: (1) you keep intact all copyright and other proprietary notices; (2) such materials are not used in a manner that suggests an association between you and us or our third party licensors or our or their respective products, brands, trade or service marks or trade names; and (3) such materials are not downloaded to a database that can be used for, or otherwise with a view to, avoiding future visits to the My Way Site. Modification of the materials or use of the materials for any other purpose, including use of any such material on any other web site or networked computer environment is strictly prohibited.

In the event that you download software provided by us, the software, including any files, images incorporated in or generated by the software, and data accompanying the software (collectively, the "Software") may be used by you solely for the purposes intended by us and in accordance with any additional licence terms or agreement governing the use of such software that we make available to you. We do not transfer title to the Software to you. You may not redistribute, sell, decompile, reverse engineer, disassemble, or otherwise reduce the Software to a human-readable form. Notwithstanding the foregoing, in accordance with your statutory rights, you may: (1) make one backup copy of the Software if necessary for the purposes of your lawful use of the Software; and (2) decompile the Software and use such decompiled Software if, and only to the extent that, such decompilation is necessary to obtain the information necessary to create an independent program which can be operated with the Software or with another program, and the information so obtained is not used for any other purpose; provided always that prior to such decompilation you have requested the relevant information in writing to us at: IAC Search & Media, Attn. Legal Department, 5858 Horton Street, Suite 350, Emeryville, CA 94608 USA and we have not provided the information within one (1) month of your written request. If you have any questions or concerns relating to these statutory rights, you may contact us at the above referenced address.

Creating a Profile
If you elect to establish a password protected profile on the My Way Site - which is required only if you want to personalize the My Way Service, use the My Way Email Service or take advantage of such other services as may be offered only to users with a profile -- you agree to: (1) provide true, accurate, current and complete information about yourself as prompted by the My Way Service's registration form (such information being the "Registration Data"); and (2) maintain and promptly update the Registration Data to keep it accurate. If you provide any information that is untrue, inaccurate, or incomplete, or we have reasonable grounds to suspect that such is the case, we may suspend or terminate your account without notice to you and refuse any and all current or future use of the My Way Service (or any portion thereof).

Our Privacy Policy
Our Privacy Policy describes how we treat personal information provided when you use the My Way Service and sets out our respective rights and obligations with respect to such information. You can review our Privacy Policy, which forms part of this User Agreement, by clicking here.

Email and Bulletin Board Guidelines
The My Way Service includes the provision of access to email services and online bulletin boards. If you elect to subscribe for a My Way email address or otherwise access or use such services, your subscription to, and access and use of, the account and/or such services (as well as all of aspects of the My Way Service) is governed by this User Agreement.

YOU MUST BE 13 OR OLDER TO USE THE MY WAY EMAIL SERVICE.

USE OF THE MY WAY BULLETIN BOARDS BY PERSONS UNDER THE AGE OF 13 IS PROHIBITED.

We reserve the right to prohibit the distribution or publication of any material containing any solicitation of funds, promotion, advertising, or solicitation for goods or services that has not been approved by us in writing in advance of distribution.

You agree to not use the My Way Service (including, but not limited to, the My Way Email Service or bulletin boards) to do or attempt to do any of the following:

• harm or make inappropriate contact with minors in any way;
• upload, post, email or otherwise transmit any Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libellous, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;
• impersonate any person or entity, including, but not limited to, our personnel or another user of the My Way Service, or falsely state or otherwise misrepresent your affiliation with a person or entity;
• forge headers or otherwise manipulate identifiers in order to disguise the origin of any Content transmitted through the My Way Service;
• upload, post, email or otherwise transmit any Content that you do not have a right to transmit under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
• upload, post, email or otherwise transmit any Content that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party;
• upload, post, email or otherwise transmit any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation, except in those areas that are designated for such purpose and solely to the extent that such activities are not prohibited by law or any other provision of this User Agreement;
• upload, post, email or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
• interfere with or disrupt the My Way Service or servers or networks connected to the My Way Service, or disobey any requirements, procedures, policies or regulations of networks connected to the My Way Service;
• intentionally or unintentionally violate any applicable local, state, national or international law, including, but not limited to, rules or regulations promulgated by any national or other securities exchange, and any regulations having the force of law;
• "stalk" or otherwise harass another member or user of the My Way Service;
• harvest or in any other manner collect or store personal data about other users or members, or interfere with another member's use and enjoyment of the My Way Service or another party's use and enjoyment of similar services;
• conduct illegal, fraudulent, harmful or inappropriate activities.

It is our policy to respect the privacy of all users. Therefore, subject to the terms of our Privacy Policy, we will not monitor, edit or disclose the contents or a user or member e-mail unless required in the course of normal maintenance of the My Way Service and its systems or in connection with the good-faith belief that such action is necessary to: (1) comply with the law or comply with legal process served on us or any of our users or the public; (2) protect and defend our rights or property; or (3) act in an emergency to protect the personal safety of our users or the public.

All communications made via the My Way Service, including bulletin board communications, are public and not private communications. Although we reserve the right to remove without notice any posting for any reason, we have no obligation to delete content that you may find objectionable or offensive. By uploading materials to any bulletin board or submitting any materials to us, you automatically grant (or warrant that the owner of such materials has expressly granted) us a perpetual, royalty-free, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from and distribute such materials or incorporate such materials in or into any form, medium, or technology now known or later developed throughout the universe, without any obligation on our part to make or pay any kind of compensation to you or any other person. In addition, you warrant that all so-called "moral rights" in those materials have been waived. Such materials shall not be subject to any obligation of confidence on our part, and we shall not be liable for any use or disclosure of them.

We reserve the right to monitor some, all, or no areas of the My Way Service for adherence to this User Agreement and other rules that we may publish from time to time. We may revoke your registration privileges and/or take any other appropriate measures to enforce this User Agreement and such other rules if we become aware of any breaches. Further, we may, in our sole discretion, terminate your membership or participation in any forum or other part of the My Way Service for any reason.

Email Message Storage, Outbound Messages and Other Limitations
The amount of Email storage space per member is limited. Some Email messages may not be processed due to space constraints or outbound message limitations. You agree that we are not responsible or liable for the deletion or failure to store or transmit messages or other information.

Non-use of Account
Unless you have email forwarding set up for your account, we may terminate your account and delete all messages, files and other correspondence in your account without prior notice to you if you have not logged into or accessed your account for ninety consecutive days.

Unsolicited Email/ Illegal Activities
We reserve the right to immediately suspend, terminate, access and investigate any account which we believe, in our sole discretion, is transmitting or is otherwise connected with the distribution of unsolicited bulk email messages or any harassing email messages or with any fraudulent, illegal, harmful or inappropriate activities. In addition, to the extent that it may be impractical or impossible for us to calculate precisely the costs, losses, expenses or damages incurred by us in connection with you undertaking any such activities, you agree to pay us on request £5 (which sum you acknowledge is a genuine pre-estimate of the costs we would be likely to incur in terms of having to take action to investigate and prevent such activities) for each piece of email sent in breach of this Agreement that is transmitted from or otherwise connected with your account or, if greater, the maximum damages permitted under law; otherwise you agree to pay us actual damages, to the extent such actual damages can be reasonably calculated.

Search Results, Links and Third Party Websites
The My Way Service may provide, or third parties may provide, search results or other links to other World Wide Web sites or resources. Because we have no control over such sites and resources, you acknowledge and agree that we: (1) are not responsible for the availability of such external sites or resources; (2) do not endorse and are not responsible or liable for any Content, advertising, products, or other materials on or available from such sites or resources; and (3) are not responsible for any search results displayed through the My Way Service which may include, refer or link to unintended or objectionable content. You further acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such search results or any Content or goods or services available on or through any such site or resource.

Use of the My Way Service by Children
We are concerned about the safety and privacy of all our users, particularly children. For this reason, parents or guardians who wish to allow their children access to the My Way Service should assist them in setting up any relevant accounts and supervise their access to the My Way Service. Please remember that the My Way Service is designed to appeal to a broad audience. Accordingly, as your child's legal guardian, it is your responsibility, not our responsibility, to determine whether any part of the My Way Service, or any site linked from the My Way Service, is appropriate for your child.

If you are under the age of 13 years old, you should not use the My Way Service or submit any personal data about yourself to the My Way Service without the consent of your parent or guardian. If you use the My Way Service, we will assume (and you confirm) that you have legal capacity to enter into this User Agreement (that is, that you are of sufficient age and mental capacity and are otherwise entitled to be legally bound in contract).

Disclaimers
We seek to maintain the My Way Email Service and the My Way Service generally, but we are not responsible for any defects or failures associated with them, or any damages (such as lost profits or other consequential damages) that may result from any such defects or failures.

PLEASE NOTE THE FOLLOWING IMPORTANT DISCLAIMERS OF WARRANTIES:

THE MY WAY SERVICE IS PROVIDED 'AS IS' AND YOU USE IT AT YOUR SOLE RISK. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF SATISFACTORY QUALITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT OF PROPRIETARY RIGHTS.

WITHOUT LIMITATION, WE MAKE NO WARRANTY THAT THE MY WAY SERVICE WILL MEET YOUR REQUIREMENTS, THAT IT WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, THAT THE RESULTS OBTAINED FROM THE USE OF THE MY WAY SERVICE WILL BE ACCURATE OR RELIABLE, OR THAT THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED THROUGH THE MY WAY SERVICE WILL MEET YOUR EXPECTATIONS.

ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE MY WAY SERVICE IS DOWNLOADED OR OBTAINED AT YOUR SOLE RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM OR IS CAUSED BY ANY SUCH MATERIAL.

FURTHER, PLEASE NOTE THAT NO ADVICE OR INFORMATION, OBTAINED BY YOU FROM OUR PERSONNEL OR THROUGH THE MY WAY SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY PROVIDED FOR IN THIS USER AGREEMENT.

No material on the My Way Service is intended to constitute professional advice, whether legal, medical, financial or otherwise, nor is it intended to replace consultation with a qualified legal, medical, financial or other professional practitioner. We do not guarantee the accuracy, usefulness or availability of such materials and information and do not recommend or endorse any specific test, product, procedure, service or information that may be mentioned, linked or referred to. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION WHETHER IN CONTRACT, TORT (INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE), OR OTHERWISE EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THIS SITE.

YOU ACKNOWLEDGE AND AGREE THAT, REGARDLESS OF ANY STATUTE OR LAW TO THE CONTRARY, ANY CLAIM OR CAUSE OF ACTION YOU MAY HAVE ARISING OUT OF, OR RELATING TO, YOUR USE OF THE MY WAY SERVICE MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION ARISES, OR FOREVER BE BARRED.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Indemnification
YOU ARE ENTIRELY RESPONSIBLE FOR MAINTAINING THE CONFIDENTIALITY OF YOUR PASSWORD AND ACCOUNT. FURTHERMORE, YOU ARE ENTIRELY RESPONSIBLE FOR ANY AND ALL ACTIVITIES WHICH OCCUR UNDER YOUR ACCOUNT. YOU AGREE TO INDEMNIFY, DEFEND AND HOLD HARMLESS US, OUR PARENTS, AFFILIATES AND SUBSIDIARY COMPANIES, OFFICERS, DIRECTORS, EMPLOYEES, CONSULTANTS AND AGENTS FROM ANY AND ALL THIRD PARTY CLAIMS, LIABILITY, DAMAGES AND/OR COSTS (INCLUDING, BUT NOT LIMITED TO, ATTORNEYS FEES) ARISING FROM YOUR USE OF OUR SERVICES, YOUR VIOLATION OF THIS USER AGREEMENT OR YOUR INFRINGEMENT, OR INFRINGEMENT BY ANY OTHER USER OF YOUR ACCOUNT, OF ANY INTELLECTUAL PROPERTY OR OTHER RIGHT OF ANY PERSON OR ENTITY. YOU AGREE TO IMMEDIATELY NOTIFY US OF ANY UNAUTHORIZED USE OF YOUR ACCOUNT OR ANY OTHER BREACH OF SECURITY KNOWN TO YOU.

Termination
You agree that we may, in our sole discretion and without prior notice to you, suspend or terminate your password, account (or any part thereof) or use of the My Way Service, and remove and discard any Content within the My Way Service, for any reason, including, without limitation, for lack of use or if we believe that you have violated or acted inconsistently with the letter or spirit of this User Agreement. We may also in our sole discretion and at any time discontinue providing the My Way Service, or any part thereof, with or without notice. You agree that any termination of your access to the My Way Service (or any part thereof) under any provision of this User Agreement may be effected without prior notice, and acknowledge and agree that we may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files, the My Way Email Service and/or any other part of, or all of, the My Way Service. Further, you agree that we shall not be liable to you or any third-party for any termination of your access to the My Way Service.

Governing Law and Arbitration
This User Agreement shall be governed by and construed in accordance with English law. Any controversy or claim arising out of or relating to this User Agreement, or the breach thereof, shall be determined by binding arbitration in London, England administered by the International Centre for Dispute Resolution in accordance with its International Arbitration Rules. The parties hereby submit to the exclusive jurisdiction of the English courts with respect to any request for temporary or preliminary injunctive relief pending the outcome of such arbitration and enforcement of any arbitral award.

Other Miscellaneous Terms
If any provision of these terms shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these terms and shall not affect the validity and enforceability of any remaining provisions. This is the entire agreement between you and us relating to the subject matter covered by this User Agreement and shall not be modified by you except in writing, signed by both parties. We reserve the right to assign this agreement, and any of our rights, responsibilities, duties or obligations, in whole or in part at any time. In the event that we assign this agreement, we shall have no rights or obligations under this User Agreement, unless otherwise stated. This User Agreement will inure to the benefit of our successors, assigns and licensees.

Copyright and Copyright Notices
We respect the intellectual property of others, and we require our users to do the same. We may, in appropriate circumstances and at our discretion, terminate the accounts of users who infringe the intellectual property rights of others. If you believe that your work has been copied in a way that constitutes copyright infringement, please provide our Copyright Agent with the following information:

• an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;
• a description of the copyrighted work that you claim has been infringed;
• a description of where the material that you claim is infringing is located on the site;
• your address, telephone number, and email address;
• a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
• a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.
